The short version
- You need CAC registration, a TIN, a business bank account and the right regulatory approvals for what you list.
- Your listings must be accurate and your products genuine, approved, unexpired and in stock.
- Honour the wholesale price that applied when the order was confirmed, and dispatch within your handling time.
- You are paid after delivery and reconciliation, less commission, refunds and any failed-delivery costs attributable to you.
- Customer details are for fulfilling that order only — never for your own marketing.

1. Scope of This Agreement
This Supplier Agreement applies to any business or individual approved to list products on Hubber (a “Supplier”). It is in addition to our Terms & Conditions, which continue to apply.
Where this Agreement conflicts with the Terms & Conditions on a matter specific to Suppliers, this Agreement prevails.
By submitting a supplier application and listing products, you accept this Agreement.
2. Onboarding and Verification
To be approved as a Supplier you must provide:
- CAC registration documents (certificate of incorporation or business name registration) and your RC or BN number.
- A Tax Identification Number (TIN).
- Identification for the directors or proprietors, including NIN.
- A corporate or business bank account in the registered business name, with BVN details for the account signatory.
- A verifiable business address and contact details.
- Regulatory approvals for the categories you intend to list, such as NAFDAC registration or SON conformity certification.
We may verify these against official records, may request further documents at any time, and may decline or withdraw approval at our discretion. You must tell us within 7 days if any of this information changes.
3. Listings and Product Information
You are responsible for everything in your listings. You must:
- Describe each product accurately, including brand, model, specification, size, colour, quantity and condition.
- Use genuine images of the actual product you will ship.
- Display regulatory registration numbers where the category requires them.
- Keep stock levels and wholesale prices current, and remove or deactivate listings you cannot fulfil.
- Comply with our Prohibited & Restricted Items Policy.
- Avoid claims you cannot substantiate, including medical, curative and weight-loss claims.
You grant Hubber and Resellers a non-exclusive, royalty-free licence to use, reproduce and display your product images, descriptions and brand assets for the purpose of marketing and selling those products through the Platform. This licence ends when the product is delisted, except for copies already distributed and records we must retain.
4. Product Warranties
You warrant, for every product you list, that:
- You have good title and the legal right to sell it in Nigeria.
- It is genuine and not counterfeit, replica, stolen or smuggled.
- It matches its listing and is of satisfactory quality and fit for its ordinary purpose.
- It holds all required regulatory approvals, and any registration number displayed is valid and belongs to that product.
- It is not expired, recalled or subject to a safety notice, and has adequate shelf life remaining at dispatch.
- It does not infringe any third party's intellectual property rights.
5. Pricing
You set your own wholesale price in Nigerian Naira (₦). It must be the genuine price at which you will supply the product, and must comply with the Federal Competition and Consumer Protection Act, 2018.
You may change a wholesale price at any time. A change takes effect for orders confirmed after it is applied and does not affect orders already confirmed — you must honour the price that applied when the order was confirmed.
You must not engage in price fixing, bid rigging or any other anti-competitive practice with other Suppliers.
6. Order Fulfilment
When an order is placed, you must:
- Confirm or decline it within the handling time shown on the listing.
- Pick and pack accurately, matching the product, variant and quantity ordered.
- Package adequately for road transit across Nigeria, with protection appropriate to fragility and value.
- Label the package with the Hubber order reference so it can be tracked and reconciled.
- Hand the package to the assigned logistics partner within the agreed window.
- Not include your own marketing material, contact details or invoices, or any attempt to divert the customer off-platform.
Repeated late dispatch, cancellation after confirmation, or out-of-stock declines will affect your supplier rating and may lead to reduced visibility, suspension or delisting.
7. Payment to Suppliers
Payment for an order becomes due once the order is delivered, the return window has closed without a valid claim, and the funds for the order have been received and reconciled — including, for payment on delivery, remittance from the logistics partner.
Amounts due are credited to your supplier wallet and paid to your verified business bank account on the payout schedule shown in your dashboard. Your wallet is a record of amounts owed, not a bank account or a deposit, and does not earn interest.
We may deduct or set off from amounts due to you:
- Refunds and replacements arising from your fulfilment.
- Forward and return delivery costs where a failed delivery is attributable to you.
- Commission and platform fees.
- Chargebacks and payment reversals.
- Any other amount you owe us under this Agreement.
We may withhold payment while an order is disputed, while a claim is under review, where we suspect fraud or a breach, or where we are required to do so by law or a regulator.
8. Commission and Fees
Hubber earns commission and may charge platform fees on orders. The rates that apply to you are shown in your supplier dashboard and in your onboarding terms. We will give you reasonable notice before a rate changes, and a change applies only to orders confirmed after it takes effect.
9. Returns, Refunds and Defects
You must honour returns, replacements and refunds determined under our Returns & Refunds policy.
Where a return arises because the product was incorrect, defective, damaged before dispatch, expired or materially different from its listing, you bear the cost of the return and of the refund or replacement.
You must accept returned products at the address on file and inspect them promptly. Persistent defect, misdescription or fulfilment error rates may result in suspension or delisting.
10. Taxes and Invoicing
You are responsible for your own tax obligations, including VAT registration and remittance where applicable, income and company tax, and issuing valid invoices or receipts. Where we are required by law to withhold or account for tax on a payment to you, we will do so and provide the applicable documentation.
11. Data Protection
Customer data you receive through the Platform — names, phone numbers and delivery addresses — may be used only to fulfil the order it relates to. You must keep it secure, must not sell or share it, must not use it for your own marketing, and must comply with the Nigeria Data Protection Act, 2023 as a data controller in your own right. Our Privacy Policy explains how we handle personal data.
12. Independent Contractor
You are an independent business. Nothing in this Agreement creates a partnership, joint venture, employment or agency relationship between you and Hubber, and neither party may hold itself out as able to bind the other.
13. Confidentiality
Each party may receive confidential information from the other, including commercial terms, reseller and customer data, and business plans. Each party must keep that information confidential, use it only for the purposes of this Agreement, and return or delete it on termination, except where retention is legally required. This obligation survives termination.
14. Indemnity and Liability
You indemnify Hubber, its affiliates and their directors, officers, employees and agents against any claim, loss, liability, penalty or reasonable cost (including legal fees) arising from any product you supply, any breach of this Agreement or of any policy incorporated into it, any infringement of a third party's rights, and any regulatory action arising from your products or conduct.
Our liability to you is limited as set out in our Terms & Conditions. Nothing in this Agreement limits liability that cannot lawfully be limited.
15. Suspension, Delisting and Termination
Either party may terminate this Agreement on 30 days' written notice.
We may suspend, restrict, delist or terminate immediately where you breach this Agreement, where products are counterfeit, unsafe, expired or unlawful, where verification fails, where we suspect fraud, or where required by law or a regulator.
On termination:
- Your listings are removed from the Platform.
- You must fulfil any orders already confirmed.
- We will pay any undisputed balance due to you, less any amount you owe, once outstanding orders, returns and claims are settled.
Sections on warranties, payment, taxes, data protection, confidentiality, indemnity, liability and dispute resolution survive termination.
16. Governing Law and Disputes
This Agreement is governed by the laws of the Federal Republic of Nigeria, and disputes are resolved as set out in our Terms & Conditions — escalation to us first, then arbitration in Lagos under the Arbitration and Mediation Act, 2023.
